VA SOS Corporation Search 2026: Virginia SCC Lookup

Virginia SCC entity lookup • status • filings • fictitious names • annual fees

Verify a Virginia Business in CIS

Search a Virginia corporation, LLC, partnership or business trust by entity name or Virginia entity ID, then verify its exact status, reason for status, registered agent, addresses and filing history.

You will also learn why Virginia uses the State Corporation Commission—not a Secretary of State business registry—and what to do after finding the record.

Independent user guide. This website is not the Virginia State Corporation Commission and does not operate the Clerk’s Information System.

Virginia does not use an SOS corporation database

People often search for a “VA SOS corporation search,” but Virginia business entities are filed and searched through the Virginia State Corporation Commission, Office of the Clerk. Its online system is called the Clerk’s Information System (CIS).

Use the popular phrase to find this guide, but use the SCC and CIS names when searching, filing, paying or contacting support.

What Are You Trying to Do?

Choose the outcome you need. The helper shows the shortest useful workflow without pretending to search the live SCC database.

Find an existing company

  1. Search the distinctive words in the entity name.
  2. Compare the entity ID, type, status and jurisdiction.
  3. Open the correct CIS record.
  4. Review Reason for Status and filing history.

Complete a Virginia Entity Search Step by Step

CIS accepts an entity name or entity ID. The most reliable workflow is broad search, record comparison, profile verification and filing review.

Search by entity name

Use this when you know all or part of the corporation, LLC, partnership or business trust name.

Best first search

Search by entity ID

Use the Virginia SCC identifier when it appears on an existing CIS record, filing, notice or annual-fee document.

Most precise

Use advanced options

Use Advanced Search Options when the basic result set is too broad or when locating inactive and historical records.

For difficult searches

Open the official CIS Entity Search

Confirm that the website is on the official cis.scc.virginia.gov domain. A third-party page can explain the process but cannot replace the live state record.

Enter the distinctive part of the name

Start with the words that make the business unique. When “Commonwealth Property Management Services LLC” produces no useful result, try “Commonwealth Property Management.”

Remove punctuation and entity endings if needed

Try the name without commas, periods, apostrophes, hyphens, LLC, L.L.C., Inc., Corporation, Corp., Ltd. or Company.

Use Advanced Search Options for difficult results

Advanced options can help narrow the result set. They are also useful when you need to include inactive entities or locate records connected to other known details.

Compare similar records before selecting one

Check the entity name, entity ID, entity type, status and formation jurisdiction. Similar names can belong to unrelated businesses.

Open the record and read Reason for Status

“Active,” “Pending Inactive” or “Inactive” is only the first layer. The Reason for Status tells you what problem exists or what action may be available.

Review filing history and available images

Open the latest annual report, registered-agent change, amendment, termination, cancellation, reinstatement or other filing connected to your question.

Foreign-entity tip: a business formed in another state or country may have a home-jurisdiction name, a Virginia registered name or a fictitious name. Search every name shown on contracts, filings and invoices.

After choosing the correct search method and search wording, use the live SCC database for the final result.

What CIS Includes—and What It Does Not Prove

A Virginia SCC record establishes public filing information. It does not provide every licence, tax, ownership or risk fact about the company.

Common records found in CIS

  • Virginia stock and nonstock corporations
  • Virginia limited liability companies
  • Limited partnerships and registered partnerships
  • Virginia business trusts
  • Foreign entities registered to transact business in Virginia
  • Active, pending and inactive entity records
  • Registered-agent and registered-office information
  • Public filing history and available filing images
  • Corporation officer and director information reported in annual reports
  • Fictitious-name relationships when filed through the SCC system

What a CIS profile does not prove

  • Professional or occupational licence status
  • Insurance coverage
  • Federal EIN
  • Virginia tax-account status
  • Complete beneficial ownership
  • Financial solvency
  • Absence of lawsuits, judgments or liens
  • Consumer reputation or complaint history
  • Authority of the individual contacting you
  • Ownership of a payment account or website
Sole proprietor example: a person operating “Blue Ridge Home Staging” may not have a separate corporation or LLC record. The public connection may instead be a Virginia fictitious-name filing.

Read a Virginia Entity Record in the Right Order

Use this five-part order to confirm that the record belongs to the business you are researching.

1. Entity name
2. Entity ID and type
3. Status and reason
4. Agent and offices
5. Newest filings
Record fieldWhat it tells youCommon mistakeUseful next check
Entity nameThe current legal name recorded by the Virginia SCC.Treating an advertised brand as the legal contracting party.Look for a former name or fictitious name.
Entity IDThe unique Virginia SCC identifier for the entity record.Confusing it with an EIN, tax number or licence number.Use it for precise future searches and filing questions.
Entity typeThe registered structure, such as stock corporation, nonstock corporation, LLC, partnership or business trust.Applying corporation rules to an LLC.Use the correct annual-report and fee rules.
StatusThe broad CIS condition: Active, Pending Active, Pending Inactive or Inactive.Stopping without reading Reason for Status.Open the reason and relevant filing.
Reason for StatusWhy the entity has its current condition and what problem or filing event applies.Assuming every inactive business has the same reinstatement path.Use the SCC reinstatement or maintenance guidance.
Formation or registration dateWhen a Virginia entity was formed or a foreign entity registered in Virginia.Assuming continuous operations since that date.Look for termination, cancellation, reinstatement or conversion filings.
JurisdictionThe state or country where the entity was formed.Thinking every Virginia CIS record was formed in Virginia. For foreign entities, check the home-jurisdiction registry when needed.
Principal officeThe reported main business address.Assuming it is open to customers or located in Virginia.Compare it with contracts and the newest filing.
Registered officeThe Virginia physical address connected to the registered agent.Treating it as the headquarters or worksite.Confirm whether the agent or office recently changed.
Registered agentThe individual or qualified entity designated to receive service of process and official notices.Assuming the agent owns the company.Review officers, directors, members, managers and filings.
Directors and officersCorporation roles reported in the annual report.Treating the list as complete ownership proof.Use corporate records or transaction documents for ownership.
Filing historyA chronological list of documents filed with the Office of the Clerk.Reading only the profile summary.Open the newest relevant image or order the needed copy.

Useful actions after opening the correct record

View filing history

Find annual reports, amendments, agent changes, cancellations, terminations and reinstatements.

Download available images

Many noncertified business filing images can be downloaded from CIS at no charge.

Pay registration fees

Use the entity’s CIS record to locate eligible annual registration-fee actions.

File a corporation report

Corporations can submit annual reports with or without changes through CIS.

Order certificates or copies

Request the certificate or certified filing required by the receiving organisation.

Start reinstatement

Use status and reason information to determine whether online reinstatement is available.

Verify a Virginia Company Before You Pay

Use CIS to confirm the legal identity behind a proposal, invoice, lease, donation request or online offer. Then complete the licence and payment checks that CIS cannot answer.

Match these details

  • Legal entity name on the agreement
  • Virginia entity ID
  • Entity type and jurisdiction
  • Exact status and reason for status
  • Principal office or known business location
  • Registered agent
  • Newest annual report or filing
  • Fictitious-name connection when a brand is used

Verify elsewhere

  • Contractor or professional licence
  • Insurance policy
  • Authority of the salesperson
  • Bank-account ownership
  • Tax compliance
  • Complaints and court records
  • Liens and UCC financing records
  • Actual beneficial ownership

Worked example: the invoice name is not an entity

Invoice says

“Virginia Coastal Renovations”

Entity search

No matching corporation or LLC appears.

Fictitious name

The DBA record connects the name to “VCR Construction LLC.”

Final check

Search VCR Construction LLC, read its status and separately verify the contractor licence.

Payee mismatch: ask for an explanation when the requested payment recipient differs from both the legal entity and documented fictitious name. A valid SCC record does not authenticate an unrelated bank account.

Decode Status and Reason for Status

CIS uses broad status categories. The accompanying reason explains the filing problem, termination event or reinstatement possibility.

StatusPractical meaningIf you are checking the businessIf this is your business
ActiveThe entity is active in the Virginia SCC record.Continue with licence, filing and transaction checks.Keep annual reports, fees, agent and office information current.
Pending ActiveA filing or process is underway before the record becomes fully active.Wait for completed acceptance before relying on active status.Monitor the submission and correct any rejected filing.
Pending InactiveThe entity is at risk of termination, revocation or cancellation if the listed issue is not resolved.Read Reason for Status and request evidence of correction.Resolve the reason before the deadline.
InactiveThe entity has been terminated, canceled, revoked, merged, converted or otherwise made inactive.Do not assume current Virginia authority. Look for later reinstatement.Read Reason for Status to see whether reinstatement is available.
TerminatedA corporation or another applicable entity lost active status through the relevant process.Check the termination date and any later restoration.File missing reports, pay amounts due and use reinstatement if eligible.
CanceledAn LLC or another applicable entity’s existence or Virginia registration was canceled.Confirm whether a later reinstatement restored the record.Use the reason and reinstatement window to determine next steps.
RevokedA foreign entity’s authority to transact business in Virginia was revoked.Check for later reinstatement or new registration.Resolve outstanding reports, fees and registration issues.
Merged or ConvertedThe original record may no longer be the surviving or current entity.Open the merger or conversion filing and identify the resulting entity.Use the surviving or resulting entity record for future filings.
Reinstated or RestoredThe entity completed the applicable process to return to active status.Check the effective date and newest filing.Confirm all future due dates and agent information.
Active is not a universal approval badge. It does not prove professional licensing, tax clearance, insurance, solvency, reputation or the authority of the person contacting you.

No Result? Use This Search-Recovery Order

Work from simple name corrections to specialised record paths before deciding that no Virginia filing exists.

Confirm spelling. Compare the name with a signed agreement, tax form, official notice or website legal footer.
Remove punctuation. Delete periods, commas, apostrophes and hyphens.
Remove the entity suffix. Search without LLC, Inc., Corp., Corporation, Ltd. or Company.
Keep distinctive words only. Drop generic terms such as services, solutions, holdings or group.
Try spelling and spacing variations. Search joined words, separated words and common abbreviations.
Use Advanced Search Options. Include inactive records and narrow the result set with known details where available.
Search a former name. The entity may have amended its legal name.
Search the entity ID. Use it when found on a filing, notice, invoice or old profile.
Search a fictitious name. The advertised name may be a DBA owned by another entity or individual.
Check the home jurisdiction. A foreign entity can use a different Virginia name.
Consider a sole proprietor or general partnership. The useful record may be a fictitious-name filing rather than an entity profile.
Consider a pending filing. A new or corrective filing may not yet have produced the final status.
Contact the Clerk’s Office. Provide the searched names, entity ID if known and exact result needed.

Search a Virginia DBA or Fictitious Name

Virginia uses “fictitious name” for a name used in business that differs from the legal name. “DBA,” “assumed name,” “t/a” and “aka” are commonly used for the same general idea.

Legal entity

Corporation or LLC uses another name

The CIS relationship can connect the fictitious name with the registered entity that owns or uses it.

Unregistered structure

Sole proprietor or general partnership

A fictitious-name filing can be the most useful public record when no corporation or LLC exists.

Older records

Check circuit-court history when needed

Older fictitious-name records or releases may involve the circuit court where the earlier filing was made.

Current official facts

  • The SCC Clerk’s Office is Virginia’s central fictitious-name filing office.
  • The standard filing fee is $10.
  • A sole proprietor, trust, general partnership or registered entity can file.
  • A certified fictitious-name receipt or Certificate of Fact is available for $6.
  • A Commission-filed fictitious name can be released through the applicable filing.

What the filing does not do

  • The fictitious name does not have to be unique.
  • It does not create a corporation or LLC.
  • It does not provide automatic trademark rights.
  • It does not replace professional licensing.
  • It does not prove the signer owns every asset of the business.
Legal-use warning: Virginia’s SCC guidance describes significant consequences when a required fictitious-name filing is not made, including restrictions on maintaining a court action. Businesses should use the official instructions or legal advice for their specific facts.

After confirming that the public-facing name may be a DBA, use CIS for the official filing or search path.

Check Virginia Business-Name Availability

Entity Search and Name Availability are different tools. Entity Search finds existing records; Name Availability checks whether a proposed name appears available and allowable for filing.

Run these preliminary searches

  • Full proposed entity name
  • Distinctive wording without LLC or Inc.
  • Singular and plural forms
  • Common spelling variations
  • Abbreviations and word-order changes
  • Fictitious names using the same brand wording

Do not assume this

  • An empty entity search guarantees approval.
  • A name reservation forms the company.
  • A domain purchase creates legal name rights.
  • Virginia acceptance provides federal trademark protection.
  • A fictitious name must be unique.

Reserve or renew a name for 120 days

Virginia form SCC631 can reserve or renew a business entity name for 120 days. The current listed fee is $10. A reservation holds the name; it does not create the entity or authorise trademark infringement.

Annual Report and Annual Registration Fee Are Different

The most common Virginia compliance mistake is treating every entity like a corporation. Corporations have annual reports and annual registration fees; LLCs generally pay the annual registration fee without filing the corporate officer-and-director report.

Entity typeAnnual reportAnnual registration feeDue-date rule
Virginia or foreign LLCNo corporate annual report listing directors and officers.$50Last day of the month in which the LLC was organized or registered.
Stock corporationRequired beginning the year after incorporation or Virginia registration; report itself has no filing fee.Based on authorized shares.Last day of the incorporation or registration month.
Nonstock corporationRequired beginning the year after incorporation or Virginia registration; report itself has no filing fee.$25Last day of the incorporation or registration month.
Limited partnershipNot the standard corporation report.$50Due annually on or before October 1.
Business trustNot the standard corporation report.$50Due annually on or before October 1.
LLC late penalty$25

Added when the annual registration fee is not received by the due date.

Nonstock corporation penalty$10

Applies to a late annual registration fee.

Stock corporation penalty10% or $10

The greater of 10% of the annual registration fee or $10.

What the corporation annual report updates

  • Directors
  • Officers
  • Principal-office information
Separate filing required: a corporation annual report cannot be used to change the legal entity name, authorized shares, registered-agent name or registered-agent address. Use the appropriate separate filing.

Late-payment cancellation and termination timing

If an LLC’s fee remains unpaid, cancellation generally occurs at the end of the third month after the due date. A corporation that fails to file its annual report or pay its registration fee can be terminated or revoked at the end of the fourth month after the due date.

No online payment surcharge: the SCC states that it does not add an extra fee merely for paying an annual registration fee online.

Fix a Pending-Inactive or Inactive Virginia Entity

Do not submit random filings or payments. Start with the exact status and Reason for Status, then resolve every listed issue.

Pending Inactive

The record has not yet completed termination or cancellation. Reason for Status identifies what must be corrected to avoid becoming inactive.

  • Pay unpaid annual fees and penalties.
  • File a missing corporation annual report.
  • Replace a resigned registered agent.
  • Correct a rejected filing.

Inactive

Reason for Status tells you whether reinstatement is available. Virginia generally allows reinstatement within a five-year period after termination, cancellation or revocation.

  • Confirm that the entity is still within the window.
  • Resolve unpaid fees and reports.
  • Restore the registered agent and office if needed.
  • Submit the correct reinstatement filing.

Reinstatement sequence

  1. Search the entity and record the entity ID.
  2. Read the current status and Reason for Status.
  3. Open the filing history and locate the termination, cancellation or revocation event.
  4. Identify all missing reports, fees, penalties and agent issues.
  5. Use CIS to begin online reinstatement when the record is eligible.
  6. Save the confirmation and check that CIS later shows the updated status.
Payment alone may not restore the entity. Missing reports, registered-agent problems or other filing requirements can remain after money is paid.

Download Filings, Certified Copies or Official Certificates

Choose the document based on what the receiving bank, lender, agency or transaction partner actually requires.

You need toDocumentCurrent online costWhat it provides
Read a public filingAvailable noncertified filing imageFreeA downloadable image of an available filed business document.
Prove a filing is certifiedCertified copy$6 per requestA certified copy of the selected business entity filing; online requests do not add a per-page charge.
Show a corporation’s standingCertificate of Good Standing$6The corporation certificate used when a requester requires official standing evidence.
Show an LLC exists or is registeredCertificate of Fact of Existence or Registration$6The LLC-specific certificate. Do not assume the corporation certificate name applies to an LLC.
Prove a fictitious-name filingCertified Fictitious Name receipt or Certificate of Fact$6Certified evidence of the fictitious-name filing.
Ask the requester: “Do you need a Certificate of Good Standing, a Certificate of Fact, a certified copy of one filing, or only a free noncertified document image?”

Document availability detail

Business documents filed on or after January 1, 1997 are generally available online when images exist. If a certified image must be retrieved by staff, the request can move to in-house fulfilment and be returned by email. Unaccepted or withdrawn documents are not public filing images.

Registered Agent, Officer, Director or Owner?

A CIS record uses different role labels for service of process, management and reporting. The label alone does not establish ownership.

Registered agent

Receives lawsuits and official notices at the Virginia registered office.

Not automatic ownership proof

Corporate director

Serves on the corporation’s board and is reported in the annual report.

May not own shares

Corporate officer

Holds a reported role such as president, secretary or treasurer.

Role is not ownership proof

LLC member

May hold an ownership interest in the LLC.

Can indicate ownership

LLC manager

Manages a manager-managed LLC.

May not be a member

Organizer or incorporator

Signs or submits the creation filing.

May be an attorney or service

Virginia registered-agent requirements

  • The entity must continuously maintain a registered agent and Virginia registered office.
  • The registered office must be a physical business address in Virginia.
  • The agent must meet Virginia’s statutory qualification requirements.
  • The agent should be available during normal business hours.
  • Failure to replace a resigned agent can move the entity toward pending-inactive and inactive status.

Use the Correct Virginia Government Search

CIS answers entity-registration questions. Use the system that owns the record when checking licences, financing statements, taxes or regulated industries.

Avoid Unofficial Annual Report and Fee Solicitations

Private companies may offer filing help through letters, email, text messages, websites or QR codes. Their service fee is separate from the SCC amount.

Before paying

  • Confirm the domain is an official scc.virginia.gov or cis.scc.virginia.gov address.
  • Match the entity name and entity ID.
  • Read the exact filing or fee due.
  • Compare the official SCC amount with the total charged.
  • Save the CIS confirmation and receipt.

Pause when a message

  • Uses urgent compliance language without a CIS status reason.
  • Charges for a free filing image.
  • Calls an LLC certificate a corporation Certificate of Good Standing.
  • Uses a non-government payment site or QR code.
  • Does not separate government and service fees.

Contact the Virginia SCC Clerk’s Office

Prepare a precise question before calling or emailing. Clerk staff can explain filing requirements but cannot provide legal, business or tax advice.

Prepare these details first

  • Exact legal or advertised business name
  • Virginia entity ID, if available
  • Entity type
  • Current status and Reason for Status
  • Name variations already searched
  • Filing, payment or submission number
  • Date and method of filing
  • Exact outcome you need
Phone script: “I am trying to locate or correct the record for [legal name]. The Virginia entity ID is [number, if known]. CIS currently shows [status] because of [reason]. I have already tried [steps]. Which filing or CIS action should I use next?”

Virginia SCC Entity Search FAQs

Is the VA SOS corporation search a Secretary of State service?

No. Virginia business entities are filed and searched through the Virginia State Corporation Commission, Office of the Clerk. The official online system is the Clerk’s Information System, commonly called CIS.

Is the Virginia SCC entity search free?

Yes. Searching public entity information and downloading many available noncertified filing images is free. Filings, certified copies and official certificates can require fees.

Can I search a Virginia business by entity ID?

Yes. CIS accepts a Virginia entity ID, which is the most precise way to reopen one record. The entity ID is different from an EIN, tax number or professional licence number.

What does Pending Inactive mean in Virginia?

Pending Inactive means an unresolved issue can lead to termination, cancellation or revocation. Read the Reason for Status in CIS to learn whether the problem is a missing annual report, unpaid fee, registered-agent issue or another filing matter.

Why can’t I find a Virginia business?

The search may be too exact, the entity may use a different legal or fictitious name, the record may be inactive, or the business may be a sole proprietor or general partnership rather than a corporation or LLC. Remove punctuation and entity endings, use Advanced Search Options, check fictitious names and try the entity ID.

Does a Virginia LLC file an annual report?

A Virginia LLC generally does not file the corporation annual report listing directors and officers. It does pay a $50 annual registration fee by the last day of its organization or Virginia registration month.

What is the Virginia LLC annual registration fee?

The current annual registration fee for a Virginia or foreign LLC is $50. A $25 penalty applies when payment is late, and continued nonpayment can lead to cancellation.

Is a registered agent the owner of a Virginia company?

Not necessarily. A registered agent receives service of process and official notices at the Virginia registered office. An owner may serve as agent, but attorneys and registered-agent companies can represent many unrelated entities.

How do I search a Virginia DBA or fictitious name?

Use the Virginia SCC’s CIS fictitious-name services. A fictitious name can connect a public brand with a corporation, LLC, sole proprietor, trust or general partnership. The standard filing fee is $10, and a certified receipt or Certificate of Fact is $6.

How do I download a Virginia Certificate of Good Standing?

Open the correct corporation in CIS and select the applicable certificate service. A corporation Certificate of Good Standing currently costs $6. For an LLC, request the appropriate Certificate of Fact of Existence or Registration rather than assuming the corporation certificate title applies.

Freshness note: fees, interfaces, filing deadlines and office hours can change. The substantive information in this guide was checked against Virginia SCC sources on July 23, 2026. Confirm the final amount and available action in CIS before filing or paying.
