Find the Correct Massachusetts Business Record
Search a Massachusetts corporation, LLC, nonprofit or partnership by entity name, individual name, nine-digit identification number or filing number—and understand the result before relying on it.
This guide explains all four search modes, the four matching controls, officer and resident-agent fields, city/town DBA records, annual-report deadlines, certificates, reinstatement and the separate tax-compliance check.
What Do You Need From the Massachusetts Registry?
Select the task that matches your real goal. The helper gives you the shortest useful path before you open the state database.
Find a company
- Use the Entity Name tab.
- Start with Begins with or Full text.
- Compare entity type and nine-digit ID.
- Open the summary and inspect all filings.
Understand All Four Search Tabs and Match Modes
Massachusetts provides more search controls than many states. Choosing the wrong tab or match type is the main reason visitors receive no results or hundreds of unrelated records.
Entity Name
Search a company, corporation, LLC, LP, LLP, nonprofit or another filing entity.
Best first choice for a legal business name.Individual Name
Search a person reported as an officer, director or another listed individual.
Last name is required; first and middle names help narrow results.Identification Number
Search one exact entity using the Massachusetts record identifier.
The official form requires a nine-digit number.Filing Number
Locate a particular submitted document rather than searching the company generally.
Useful when the number appears on a filing image, receipt or rejection.Which match type should you choose?
Use when you know the beginning but not the exact legal ending. Example: “Harbor Analytics”.
Use only when you have the complete legal name, including punctuation and entity ending.
Use when important words may appear later in the name or in a different arrangement.
Use for similar-sounding spellings, uncertain surnames or names you heard rather than saw.
Complete the Official MA Business Search Step by Step
Use this sequence to find the right record and avoid confusing a similarly named business with the entity on your contract, invoice or filing notice.
Choose the correct search tab
Use Entity Name for a business, Individual Name for a person, Identification Number for one exact nine-digit record, or Filing Number for one document.
Enter only the reliable wording
Start with distinctive words. Remove “The,” punctuation and entity endings such as Inc., LLC or Corp. when a full legal-name search fails.
Select the match mode
Begins with is usually the safest first search. Full text is useful when the core words may not appear at the beginning. Soundex helps with uncertain spelling.
Set a practical result count
The portal can display 25, 50 or 100 items per page. Use 25 for a precise name and 100 when comparing many similar results.
Compare the result list
Match the exact entity name, entity type and identification number. Do not rely only on a familiar word or city.
Open the Business Entity Summary
Confirm organization or registration date, fiscal year, principal office, resident or registered agent, officers, directors, managers and signatories.
Select ALL FILINGS
At the bottom of the summary, select ALL FILINGS and open View Filings. Review the newest annual report, amendment, cancellation, merger, dissolution or reinstatement document.
Worked search example: “Beacon Harbor Consulting Group LLC”
Exact match with the full advertised name returns nothing.
Begins with “Beacon Harbor” returns several entities.
Match entity type, nine-digit ID, organization date and office.
Open filings to see whether “Consulting Group” is an older name or local DBA.
The official portal is the final action after you understand the tab and match mode above.

Read a Massachusetts Business Entity Summary in the Right Order
Massachusetts summaries vary by entity type. An LLC can show managers and document signatories, while a corporation can show officers, directors, fiscal year and stock information.
| Field | What it means | Common mistake | What to check next |
|---|---|---|---|
| Exact entity name | The current legal name displayed by the Corporations Division. | Using a brand name as the contracting entity. | Search local DBA records or name-change filings. |
| Entity type | Domestic or foreign corporation, LLC, nonprofit, LP, LLP or another registered form. | Applying LLC rules to a corporation or nonprofit. | Use the matching annual-report deadline and fee. |
| Identification number | The nine-digit Massachusetts record ID used for precise lookup. | Confusing it with an EIN. | Save it for filings, certificates and support calls. |
| Old ID number | A prior identifier that may appear on older records. | Assuming two IDs always mean two businesses. | Match the exact legal name and historical filings. |
| Date of organization | When a domestic entity was organized in Massachusetts. | Treating it as proof of uninterrupted operation. | Look for cancellation, dissolution or revival dates. |
| Date of registration | When a foreign entity registered to transact business in Massachusetts. | Confusing this with the home-state formation date. | Review the jurisdiction and original formation date. |
| Revival, reinstatement or cancellation date | A major status event affecting the record. | Reading only the original formation date. | Open the related filing and later annual reports. |
| Fiscal month/day | The fiscal year-end used for many corporate annual-report deadlines. | Assuming every report is due on the same calendar date. | Count 2½ months after the fiscal year closes. |
| Principal office | The primary business office reported in the filing. | Assuming it must be in Massachusetts. | Compare the newest annual report and transaction documents. |
| Resident or registered agent | The person or entity designated to receive legal process and official notices. | Assuming the agent owns the company. | Review managers, officers, directors or signatories. |
| Managers and signatories | For an LLC, people reported as managers or authorized to sign state or real-estate documents. | Treating every signatory as a member or owner. | Use operating and transaction records for ownership proof. |
| Officers and directors | People and roles reported for a corporation or nonprofit. | Assuming a director or officer owns shares. | Open the latest annual report and corporate records. |
| Stock information | Authorized and sometimes issued share information for a corporation. | Equating authorized shares with present ownership. | Use stock ledgers or transaction records where formal proof is required. |
| Comments or notes | Additional information associated with the state record. | Ignoring a note that explains a merger, old record or filing problem. | Open the document tied to the note. |
Verify a Massachusetts Company Before You Pay or Sign

- Principal office and local office

No Result? Use This Massachusetts Search-Recovery Order
Work through the sequence before deciding that no state or local record exists.
Find a Massachusetts DBA or Business Certificate
Massachusetts generally handles ordinary DBAs locally. The record is commonly called a business certificate and is filed through the clerk’s office in the city or town where the business is principally located.
Use a local business-certificate search when
- A storefront name does not match the state entity
- A sole proprietor uses a trade name
- A partnership operates under another name
- An invoice shows a brand rather than an LLC or corporation
- A licensing application asks for a certified DBA certificate
Do not assume a local DBA
- Creates a corporation or LLC
- Provides automatic trademark rights
- Proves professional licensing
- Shows complete ownership
- Replaces state registration for a filing entity
Practical DBA verification path
- Identify the city or town where the business is principally located.
- Search that clerk’s business-certificate records or contact the clerk.
- Match the DBA to the individual or legal entity named on the certificate.
- Search that legal entity in the Massachusetts corporate database.
- Obtain a certified local copy when an agency, bank or licence application requires it.
Use the state’s DBA overview only after identifying the relevant municipality.
Check Whether a Massachusetts Business Name Is Available
A corporate-database search alone is not enough. Massachusetts recommends a preliminary check of existing entities, active name reservations and state trademark records.
Search these sources
- Entity Name search using Begins with
- Full text and Soundex variations
- Active name-reservation database
- Massachusetts trademark database
- Local business certificates
- Federal trademark records and established use
Do not treat this as final approval
- No exact result does not guarantee acceptance
- A domain purchase does not reserve the legal name
- A local DBA does not create exclusive statewide rights
- A state reservation does not create the entity
- State name approval does not settle trademark disputes
Massachusetts name reservation
A standard business-entity name reservation costs $30 and reserves an available name for 60 days. During that period, the applicant may extend it once for another 60 days by paying another $30. The reservation application is submitted by mail or in person rather than fax.
Use the Correct Massachusetts Annual-Report Deadline and Fee
Massachusetts does not use one universal due date. Corporations follow their fiscal year, LLCs and limited partnerships follow anniversary dates, nonprofits use November 1 and LLPs have a February deadline.
| Entity type | Due date | Base or listed fee | Important detail |
|---|---|---|---|
| Domestic or foreign profit/professional corporation | Within 2½ months after fiscal year-end. | Paper $125; $150 when late. Electronic base $100, with electronic expedite charges shown in the fee schedule. | Use the fiscal month/day from the entity summary. |
| Domestic or foreign LLC | On or before the anniversary of organization or Massachusetts registration. | $500 base filing fee. | The electronic/fax schedule can add a $20 expedite charge. |
| Massachusetts nonprofit corporation | On or before November 1 each year. | $15 base filing fee. | The report identifies officers and directors and their term-expiration dates. |
| Domestic or foreign limited partnership | On or before the anniversary of formation or registration. | $450 electronic base; $500 paper or fax. | Electronic expedite charges may apply. |
| Domestic or professional LLP | Last day of February. | $500 base filing fee. | Failure to file can lead to notice and revocation. |
| Foreign LLP | Last day of February following fiscal year-end. | $500 base filing fee. | Use the foreign entity’s reporting information and filing rules. |
| Voluntary association or certain trust | On or before June 1. | $75 base filing fee. | Five years of reports may be required before termination. |
The 2½-month deadline generally falls on March 15.
The next annual report is generally due by July 23, 2027.
The annual report is due by November 1.
What to review before filing
- Exact entity and nine-digit identification number
- Correct report year or anniversary date
- Principal and registered/resident office
- Resident or registered agent
- Managers, signatories, officers and directors
- Fiscal year-end and business description where applicable
- Electronic expedite charge and final checkout total
- Confirmation screen after payment
Correct, Reinstate or Close a Massachusetts Entity Record
The correct filing depends on the entity type and whether the problem is a false statement, changed agent, missing annual report, administrative dissolution, revocation or voluntary ending.
Articles or certificate of correction
Used when an accepted document contains an incorrect statement, typographical error or defective execution.
Agent or office change
Use the dedicated change filing. Many electronic agent/office changes have no state filing fee, while paper or fax can cost $25.
LLC amendment
Required when material certificate information changes, including managers or authorized signatories. Listed fee: $100.
Administrative reinstatement
An LLC can apply at any time after administrative dissolution, but all owed annual reports must be filed. Application fee: $100.
Corporate reinstatement
Post-2004 administrative reinstatement generally requires tax clearance or a request to DOR plus owed annual reports.
Foreign requalification
Can require all owed reports plus a current home-jurisdiction legal-existence or good-standing certificate.
Reinstatement preparation checklist
- Search the entity and save its nine-digit ID.
- Open the dissolution or revocation filing.
- List every missing annual report and fee.
- Confirm that the entity name is still available.
- Obtain DOR clearance when required for a corporation.
- For a foreign entity, obtain the required recent home-state certificate.
- Submit the $100 reinstatement application plus required reports and charges.
- Recheck the summary after acceptance rather than assuming submission changed the record.
Choose the Right Massachusetts Certificate or Certified Copy
Massachusetts offers several certificate types. “Good standing” from the Corporations Division is different from tax good standing issued through the Department of Revenue.
| You need to prove | Likely document | Typical listed fee | Important distinction |
|---|---|---|---|
| The entity legally exists | Certificate of Legal Existence or Existence | Often $7 or $12 depending on entity and content. | Does not necessarily certify annual reports or taxes are current. |
| Corporate filing good standing | Corporations Division Certificate of Good Standing | Corporations commonly $12; LLCs, LPs and LLPs commonly $25. | The corporation fee page states this is not Tax Good Standing. |
| Massachusetts registration of a foreign entity | Certificate of Registration | Commonly $7 or $12 depending on entity. | Shows registration, not the home jurisdiction’s current status. |
| The content of a specific filing | Certified copy of that filing | Depends on page count, certification and delivery. | Order the exact document, not an unrelated status certificate. |
| State tax compliance | DOR Certificate of Good Standing and/or Tax Compliance | Request through MassTaxConnect. | This is separate from the Corporations Division certificate. |
How to order a certified filing copy
- Search by entity name, filing number or officer name.
- Open the correct entity summary.
- Scroll to the filing-selection box.
- Select ALL FILINGS and choose View Filings.
- Check the box beside the document you need.
- Select Request and complete payment and delivery details.
- Use the correct mailing address because that is where a mailed document will be sent.
Electronic certificate authenticity
Available emailed certificates include the Massachusetts seal, a unique certificate number and an official verification location. Use the e-certificate verification search when a bank, agency or transaction partner sends you a certificate.
Use the Correct Massachusetts Search Database
The Corporations Division provides separate databases for historical cards, rejected filings, liens, UCC records, trademarks, name reservations and certificate verification.

Massachusetts Business Search FAQs
Is the Massachusetts business entity search free?
Yes. The public Corporations Division database can be searched without paying. Fees apply when filing documents, ordering certificates or requesting certified copies.
What can I use to search for a Massachusetts company?
You can search by entity name, an individual name such as an officer or director, a nine-digit identification number, or a specific filing number.
Which search type should I use: Begins with, Exact, Full text or Soundex?
Start with Begins with when you know the first words. Use Full text when important words may appear later, Soundex for uncertain spelling, and Exact match only when you have the complete legal name.
Is the Massachusetts identification number the same as an EIN?
No. The Massachusetts identification number is a nine-digit Corporations Division record identifier. A federal EIN is issued by the IRS and serves a different purpose.
Why can’t I find a sole proprietorship or DBA?
Sole proprietorships do not automatically have a separate Corporations Division entity record. Massachusetts business certificates or DBAs are generally filed through the clerk in the city or town where the business is principally located.
When is a Massachusetts LLC annual report due?
A domestic LLC files on or before the anniversary date of its original certificate of organization. A foreign LLC uses the anniversary of its Massachusetts registration. The base filing fee is $500.
When is a Massachusetts corporation annual report due?
A domestic or foreign business corporation files within two and one-half months after the close of its fiscal year. Use the fiscal month and day shown in the entity summary.
Is a Corporations Division good-standing certificate the same as tax good standing?
No. The Corporations Division certificate addresses corporate filing status. A Massachusetts Department of Revenue Certificate of Good Standing and/or Tax Compliance is requested separately through DOR or MassTaxConnect.
How do I order a certified copy of a filing?
Open the entity summary, select ALL FILINGS, choose View Filings, check the required document, select Request and complete the payment and delivery instructions.
Does an empty entity-name search prove a proposed name is available?
No. Also search the active name-reservation database, state trademark records, similar spellings, Soundex results and local business certificates. Final acceptance is determined during filing review.
