Colorado calls a DBA an assumed or trade name. A for-profit entity using a name other than its true name—and an individual using a business name other than the person’s legal first and last name—may be required to file a trade name.

How long a trade name remains effective

A trade name tied to a reporting entity generally remains effective while the entity is in Good Standing or Noncompliant status. If the entity becomes Delinquent or Dissolved, the trade name normally remains effective for one year; a cure or reinstatement during that period can continue it. Expired trade names cannot be renewed—a new Statement of Trade Name must be filed.

120-day renewable name reservation

A Colorado entity name reservation is effective for 120 days and can be renewed. The current online fee for a reservation, renewal or transfer is $25. Include the appropriate entity designator because terms such as LLC, L.L.C. and Limited Liability Company can affect distinguishability.

400-day delinquent-name rule: Colorado generally protects a delinquent entity’s original name for 400 days. On the 401st day, the record name can gain a delinquency designator and the original name may become available to another filer.

A registered agent receives service of process, legal documents and state notices. The agent can be an owner, but the role itself does not prove ownership.

Individual agent

Must be at least 18 and have a Colorado residence or usual place of business. Since July 1, 2025, residency must be verified through Colorado ID information or the alternate passcode process.

Entity agent

Must be registered with the Colorado SOS, be in Good Standing and have a usual place of business in Colorado.

Physical location

The usual place of business must be a Colorado physical street location customarily open during normal business hours. A P.O. box cannot serve as the physical registered-agent address.

  • Only one individual or entity can be appointed as registered agent.
  • The agent must consent to the appointment.
  • The Colorado Secretary of State cannot be appointed.
  • An alternate agent passcode expires 45 days after request.
  • Failure to maintain an agent can lead to Noncompliant and Delinquent status.
Service-of-process risk: failing to maintain an available agent does not prevent lawsuits. It can instead cause the business to miss notice and face a default judgment.
